PerformanceLabsUK Partner Agreement

1. Parties. This agreement is between PerformanceLabsUK Ltd (company number SC883220, registered in Scotland) (“PLUK”) and the partner named at acceptance (“Partner”).
2. Appointment. PLUK appoints the Partner as a non-exclusive promotional partner. The Partner promotes PLUK using a unique link and/or discount code provided by PLUK and earns commission on qualifying orders.
3. Commission. PLUK pays the Partner 25% of the net order value (excluding shipping and tax) on qualifying orders placed through the Partner’s link or code within 30 days of referral. Commission is payable monthly in arrears on orders that have shipped and passed the refund window. Minimum payout £50, rolling over until reached.
4. Compliance obligations. The Partner agrees that all promotion will:
   1. describe the products only as research reference materials for in vitro laboratory research use only;
   2. make no claim or implication of human or veterinary use, or that any product treats, cures, prevents, diagnoses, or improves any condition;
   3. include no dosing, administration, or use guidance;
   4. include no before/after, transformation, or effect-based testimonial content;
   5. clearly disclose the commercial relationship in line with ASA/CAP rules; and
   6. involve no paid advertising of the products on any platform.
5. Termination. PLUK may terminate this agreement and withhold unpaid commission immediately if the Partner breaches clause 4. Either party may end the arrangement at any time on written notice.
6. Relationship. The Partner is an independent contractor, not an employee or agent of PLUK, and has no authority to bind PLUK or make representations on its behalf.
7. Governing law. This agreement is governed by the laws of Scotland.
